Cooperation Document

Industry is one of the main stakeholders for the University. Universities need the cooperation of Industry in the formation of teaching and learning curriculum, research, consultation, and being a training place for students and staff. Effective cooperation often begins with the implementation of valid and detailed documents. Here, among several types of cooperation documents that are important in this context, among them:

 

  1. Letter of Intent

A Letter of Intent is an initial document that outlines the intention to work together. Although not yet legally binding, it expresses a willingness to start negotiations and form a formal agreement.

 

  1. Memorandum of Understanding (Memorandum of Understanding - MoU)

An MoU is a written agreement between two or more parties that sets the terms and goals to be achieved. Although the MoU is not a legally binding agreement, it helps set the initial guidelines for cooperation.

 

  1. Memorandum of Agreement (MoA)

Unlike the MoU, the MoA is a more formal and detailed document that includes important details such as the responsibilities and rights of each party. MoA is often the next step after MoU to bind the agreement in more detail.

  1. Letter of Award

A Letter of Award is issued when one party announces to another party that they have been selected to receive a contract or project. It states the decision of the awarding party and explains the terms of the contract to be signed.

 

  1. Confidentiality Agreement (Non-Disclosure Agreement - NDA)

An agreement that is valid and legally enforceable and signed by two (2) or more parties to ensure the confidentiality of shared information, knowledge or any material.

Cooperation involves MoU/MoA

  1. Each collaboration involving an MoU/MoA must obtain the approval of the University Management Committee (JPU) and the approval of the University Management Board (LPU) to proceed with the collaboration transaction;
  2. The preparation of MoU/MoA documents is the responsibility of the Responsibility Center (PTJ) together with the industry using the format provided by the Center for Strategy and Corporate Relations (PSPK). MoU/MoA management procedures can be found on the PSPK website, (http://www.pspk.upm.edu.my). The PTJ and the industry need to include every detail that has been agreed upon in the MoA/MoU document. The MoA/MoU document will be sent to the Legal Advisory Office for further review.
  3. The signing ceremony will be conducted by the Center for Strategy and Corporate Relations (PSPK) together with PTJ and leaders.
  4. The preparation of the proposal paper is prepared by the PTJ involved.
  5. MoA/MoU Management:
    • Management of MoA/other Academic/Student related agreements is managed by the Center for Strategy and Corporate Relations (PSPK)
    • Management of MoAs/other research-related agreements managed by the Research and Innovation Center (RMC)
    • Management of MoAs/Other licensing related agreements is managed by Putra Science Park
    • The management of consultancy -related agreements is managed by UPM Holding
    • MoU management is managed by the Center for Strategy and Corporate Relations (PSPK)
